Articles of Association

I. General Provisions

§1
  1. The name of the Company shall be H.CEGIELSKI -POZNAŃ Spółka Akcyjna (H.CEGIELSKI - POZNAŃ Joint Stock Company), hereinafter referred to as the Company.
  2. The Company shall also be known as: HCP S.A.
§2
  1. The registered office of the Company shall be in Poznań, Poland.
  2. The Company shall be authorized to conduct its business affairs both in the Republic of Poland and abroad.
  3. The Company shall be authorized to establish branches, production plants, offices and other entities and to establish and acquire business undertakings both in the Republic of Poland and abroad.
§3
The Company was formed as a result of the transformation of a State-owned corporation known as Zakłady Przemysłu Metalowego H.Cegielski (H.Cegielski Metal Works).
§4
The Company's lifetime shall be unlimited.
§5
The Company is established pursuant to the Commercialization and Privatization of State-owned Companies Act of 30.08.1996 (Dz. U. 171/2002, item 1397, as ammended), the Code of Commercial Companies of 15.09.2000 (Dz. U. No. 94, item 1037, as amended) and the provisions of its Articles of Association hereunder.
